Unfortunately, there's no way to upgrade xp to Windows 8. You would need to clean install Windows 8.

As Santosh Bhandarkar mentioned, there is no formal upgrade path from XP to Windows 8.  Even if there was, that is probably not something you would want to do.  It is bad enough doing an upgrade from Windows Vista/7 to Windows 8--or doing any upgrade for that matter.

A much better solution is to always do a clean install.  If you are worried about retaining environments and such, use User State Migration Tool.  http://technet.microsoft.com/en-us/windows/user-state-migration-tool.aspx

if that was true why does microsoft offer electronic upgrade and the upgrade assistant performs this,upgrade from windows xp ?
Because the upgrade will recognize your XP installation as a valid Windows os and then allow you to cleanly install Windows 8 either in place of your XP install thus wiping out XP, or install on a different partition leaving your XP intact and allowing you to boot either os. YOU CANNOT UPGRADE XP ITSELF TO WINDOWS 8, PERIOD.

There is a lot of confusion regarding the term "upgrade".

When you purchase a "Windows 8 Upgrade" the term upgrade refers to an upgrade license. In order to qualify for an upgrade license purchase, you must already own a license for a qualifying operating system. Examples of qualifying licenses would be an OEM Windows XP Pro or a retail package of Windows 7 Pro. The actual qualifying licenses depend upon the upgrade license you are purchasing.

The other way the term "upgrade" is used refers to a method of installation. As an example, an "in place upgrade" could start with a PC running Windows 7 Pro and you install Windows 8 Pro on top of the Windows 7 installation. This would keep all of your existing data, applications and relevant settings.

There is no relationship between the upgrade license and an in place upgrade installation method. You could, for example, perform a clean installation of Windows 8 on a PC using a Windows 8 upgrade license, as long as there had been a qualifying license on that system.
