There's no way to do an 'in-place' upgrade from a 32 bit version of Windows to a 64bit one. You'd have to do a fresh installation of Windows on the computer. This page says that an upgrade is possible:

but it also says "You won't be able to keep any files, settings, or apps when you upgrade from a 32-bit to a 64-bit version", which is effectively the same is saying that it'd be a clean install.

But you can use your windows 8 32 bit key to install windows 8 64 bit.

Yes, the same key will work with both, assuming you're keeping the same edition and not going from, say, 32bit Pro to 64bit Standard.
