It will qualify you to buy a Win7 upgrade license, but only Win7 Ultimate will permit you to do an upgrade-in-place. (You can use lesser versions, but only for a custom, basically clean, install.) As Win7 Ultimate will also upgrade-in-place lesser versions of Vista, this isn't any kind of deal.
