I am not sure what is happening but when I put a simple txt file on my root dfs server file share. its not replicating out to remote sites.

What replication mechanism are you using FRS or any other third party tool? if DFSR used try to force and check the backlogs

As far as I know, FRS is only supported in domain-based namespaces. In Windows Server 2003 R2, we could use DFS Replication in both stand-alone and domain-based namespaces.
Windows Server 2003 R2 includes a new replication technology call DFS-R to spread the data among DFS member servers. If you have configured with DFSGUI.msc to use NTFRS.exe replicating data, when we just upgrade the operation system to Windows Server 2003 R2, the existing FRS service won't be automatically replaced with DFS.

According to your description, it's server 2003, right? Or Windows Server 2003 with SP1?
In Windows Server 2003 with SP1, you could with Distributed File System

my dfs servers are 2003 with sp1 but i think its using frs not dfs-r.
so all I am doing is
in my HQ site, I put a test.txt doc in the dfs folder
but its not replicating to remote sites
