Hello,
If you don't have prepared your AD dor AD DS 2008, you should start by it: http://technet.microsoft.com/en-us/library/cc731188%28v=ws.10%29.aspx
Once upgraded, you will be able to introduce 2008 DCs.
At this step, promote your 2008 server as an additional DC and make it a DNS and GC server.
Once you check that there is no issues with AD replication by running
dcdiag /v and checking failures, demote the old DC.
Note that it is recommended to have at least two DC / DNS / GC servers per AD domain.
Note also also that you will need to make your members servers / client computers point to the new as primary DNS server.
So, you can update your clients config (with DHCP or manually) or re-use the IP address of the old DC.

Reza,
How is your AD Enviroment set up? Both windows server 2003 and windows server 2008 are acting as DC?
From your post , let me presume that you have a single DC on windows server 2003 and windows server 2008 is a member server and is not acting as DC
IF this is the case then you need to prepare your Domain by running ADPrep on it so that you can prepare the schema and other necessary things to facilitate the addititon on windows server 2008
Refer below link to understand this better
http://blogs.technet.com/b/askds/archive/2008/11/11/so-you-want-to-upgrade-to-windows-2008-domain-controllers-adprep.aspx
Let me explain you step by step
1. Prepare your AD Environement by running ADPrep.exe tool on windows server 2003 ( You should use ADprep.exe tool from windows server 2008 Media)
2. Once this is done Run DCPROMO on windows server 2008 and make it as domain controller ( Please install DNS/GC on it as well . DNS Should be AD integrated)
3.Wait for replication to happen.Make sure all the data are in sync between both the Domain controllers (i.e windows server 2003 and windows server 2008)
3.If you will to transfer FSMO roles to windows server 2008 you can do that using NTDSUTIL command line. Refer below link which explains this
http://support.microsoft.com/kb/255504
4. make sure to confiugre time service on windows server 2008 as the PDCEmulator has been transffered to it.Refer below link to understand this better
http://social.technet.microsoft.com/wiki/contents/articles/8863.time-service-configuration-on-pdc-emulator-fsmo-role-holding-domain-controller-en-us.aspx
5. Once this is done wait for replication to happen
Thats it you are done.
I would suggest you to have 2 domain controllers in your AD for fault tolerence.
