Hello,
you have to use a 2003 R2 CD/DVD + key to upgrade so you can buy a new one.
It will be better to upgrade to 2008/2008 R2.

Hi Ravi,
If you want to upgrade from Windows Server 2003 SP2 to Windows Server 2003 R2, you will have to purchase Windows Server 2003 R2 installation disc and also need R2 license for that.
Thanks and Regards

R2 is not a free upgrade. You have to buy a license or upgrade your volume license agreement.

The following items are required to upgrade to Windows Server 2003 R2:
Windows Server 2003 R2 CD2
Windows Server 2003 R2 product key.
Check this article.
It is better to go with Windows 2008 / Windows 2008 R2.
Thanks

Windows Server 2003 R2 is not a minor release like a service pack. It's an entire major release upgrade from Windows Server 2003. Same concept with Server 2008(as Vista) and Server 2008 R2(as Windows 7).
You cannot purchase Windows Server 2003 R2 licenses any further, you will need to purchase a "Windows Server ..." (Standard, Enterprise, Datacenter...etc) license with Software Assurance that permits a Downgradeable License for Windows Server 2003 R2.
As far as an ISO, that is the only version that comes free with your purchase of the license with Software Assurance if you visit the Volume License Service Center page. From there you may elect an option to purchase a media kit where you will receive the
"halographic" CD/DVD copy versions of Windows Server 2003 R2.
I hope that helps answer your questions regarding the upgrade/migration processes you're inquiring.
