We have a W2K DC running DHCP which we want to demote to a member server but still have it keep running DHCP for the time being. All AD roles have been moved to differnet server so if we demote this server will DHCP have any issues ?

Hello, shouldn't be the case, as long as other DCs exist it will still be authorized in AD even if the server is demoted.
