Are you running Exchange on a domain controller? Also, take a look at this article: http://www.msexchange.org/articles/Automating-Quicker-Exchange-2000-2003-DC-reboot.html

how long is the server up, when it is? Exchange has to commit log files to the database before it can dismount and stop the exchange services. it could just be doing this. does it take as long to shut down after a few days as it does after a few minutes of uptime? antivirus software has also been known to tie up the shutdown process, as it doesn't finish scanning in a timley manner. you said you have to manually stop services. what services make the most impact?

Are you having exchange server on dc itself?.To make shut down process faster just make a batch file for stoping the services first before shutdwon,it will decrease the time required for shut down ex server.
