We have Exchange 2007 sp2 in Windows 2003 forest/domain level.
We want to extend AD Scheme to Windows 2008R2.
What possible problems in this process ?

It is a supported combination, so shouldn't cause you an issue.
If you want to be very safe, then install Exchange 2007 SP3, which supports R2 as its host. However the domain at that level is supported.
