Hi,
Please try in two way and update.
1: Re-install Powershell as mentioned in pre-requisite and check
2: Please check dediag and netdiag and verify all is OK
2: Also check on Windows 2003 (without R2) in same ENV

For this issue, I suggest follow this document to check the prerequisites for the Exchange 2007 Service Pack 2.

maybe the problem is active forest functional level that is not raised
