Here are the images im using for install:Windows Server 2008 Standard English 64-bit (X14-26714).ISOExchange Server 2007 Standard and Enterprise English wSP1 DVD (X13-93829).ISOBoth are the 64 bit versions. I have successfully installed with these images in a test virtual lab environment. The server I am installing exchange on is a proliant dl380 g5 with 16 gig ram and dual quad core intel xeon procs. This is base win install with no additional software installed besides the hp insight management software. Also exchange setup passed all the prerequiste requirements and configured AD with a result of completed and passed.

Problem solved! Had to do a manual uninstall of Exchange and then remove from active directory manually. Went into active directory configuration using ldp.exe and removed server from there. Followed instructions from here http://support.microsoft.com/default.aspx?kbid=278918and also here http://social.technet.microsoft.com/Forums/en-US/exchangesvrgeneral/thread/ca31af78-d31d-435d-be9b-9207f5b5c6e6
