Hi
I have the same problem also on 2008 R2 servers
MSXML is newer version than what is listed in KB968967
Also have applied OM Hotfix KB974144 with no change to the problem.

We're also seeing the same issue on Server 2008 R2 machines.
One angle we're looking at this from is all these machines which these alerts have come from all have very low CPU usage in general. If the monitor is looking at the agent cpu usage as a percentage of total cpu then this could explain the false alerts.

We are also noticing that servers with very low CPU-usage almost constantly signal high agent CPU usage. I think that the monitor is missing some logic like the following:
If CPU total is very low THEN not signal high agent usage even if percentage Agent use is high
because there is no real problem.
I have disabled the monitor on such servers.

Did anyone find a way to resolve this issue? We are still seeing this issue in our environment for 2008 VMs with low overall processor utilization.
