Does your sync worked in the past or it's a new issue ? There's a lot of post about this on this forum, many with solutions but it really depend on your situation.

That's usually an issue related to a proxy.

I have the same issue with no proxy.  Has it ever been resolved?  I've found lots of references but no solutions.

I too am having the same problem. I'm running SCCM 2012 R2 on windows server 2012 R2  and the WSUS is on the same server as Config and no proxy. We only have a simple stand alone site and we have seen this with about 4 updates now. The Malicious Removal Tool, Definitions Updates and now Silverlight updates are doing it as well. i have tried the "wsusutil.exe reset" and that did nothing for us. We have resorted to removing the Malicious removal tool from the WSUS since we have 3rd party antivirus. From reading these forums it appears this has been an on going issue for many versions of SCCM.

I know this is an old post, but I am also still having problems with this.  None of the solutions worked for me and we don't make use of proxy settings so I did not apply the recommended hotfix.  Has anyone else made any progress on this?

EULAs are downloaded as separate TXT-files. You could check that TXT-files are not blocked by firewalls etc.

I believe I solved my problem!  :)

I read in another post that the EULA needs to download to the WSUSContent folder and that you need to make sure you have the correct security rights applied to the folder.  All other updates downloaded fine so I could not understand why it would not download the EULA and why it would need different rights.  I then noticed that the inherited rights on the WSUSContent folder does not seem to be the same as the rights on the parent WSUS folder.  I then reapplied the rights to the WSUS folder and all sub folders and gave the SCCM admins group Full Control rights.  Running a new sync successfully downloaded the EULA and completed a full sync.
