The document center is a site that is specifically designed to store and present documents. Although you can use a document center for in-process documents it is really designed to be more of a repository of finished documents to be shared to a broader audience. For example, your HR department might use a document library in their own site to prepare company policy statements and then publish them to a document center when they are done for the entire company to read.Paul Stork SharePoint Server MVP

Records center is used for legal record keeping. If you need a copy of an HR Policy to show that it was not edited after a certain date then a copy of the HR Policy should be sent to the Records center when it is posted to the Document center. The records center isn't a place to archive material after its useful lifetime. So while the document is in force you would have one copy available to everyone in the document center and one in the records center for legal record keeping.Paul Stork SharePoint Server MVP
